These Terms of Service govern your use of autozyne.com and the services Autozyne provides. Autozyne (“Autozyne,” “we,” “us,” or “our”) is a New Jersey–based AI and automation business operated as a sole proprietorship, serving small and medium businesses in the United States. In these terms, “you” means the person or business using this website or purchasing Autozyne’s services.
By using this website, requesting a quote, or purchasing a service, you agree to these terms. If you do not agree, please do not use the site or purchase our services.
If you and Autozyne sign a separate written agreement for a specific project or retainer, that agreement controls wherever it differs from these terms. These terms apply to everything the signed agreement does not cover.
Who may use Autozyne’s website and services
You must be at least 18 years old to use this website or purchase Autozyne’s services. If you are agreeing to these terms on behalf of a business, you confirm that you have the authority to bind that business.
Autozyne serves businesses located in the United States. Autozyne does not accept engagements that involve protected health information or other data subject to HIPAA, and does not serve clients whose work would require Autozyne to handle that data.
What Autozyne provides
Autozyne provides digital services to businesses, including AI automation, chatbot builds, workflow automation, API and platform integrations, websites, ecommerce builds, analytics dashboards, AI search optimization, content support, and consulting. The specific services in any engagement are the ones listed in your written quote or agreement.
Autozyne delivers work to a professional standard, but does not guarantee any particular business result. Rankings, traffic, leads, conversions, revenue, cost savings, and time savings depend on factors outside Autozyne’s control, including your market, your budget, your own follow-through, and the behavior of third-party platforms. Nothing on this website or in any proposal is a guarantee of a specific outcome.
Quotes and how an engagement begins
Autozyne works on fixed quotes. Before any work begins, you receive a written quote that states the scope, the deliverables, the price, the payment schedule, and the expected timeline.
A quote is an offer, not a contract. An engagement begins when you accept the quote in writing and make the required first payment. Quotes are valid for the period stated on the quote, and prices shown anywhere on this website are starting points or ranges — your actual price is the one on your quote.
Scope, revisions, and changes
Your quote defines the scope of the work, including what is excluded. Autozyne builds what the quote describes.
Revision rounds are included as stated in your quote. A revision is a refinement of work that was already in scope. New features, added pages, added integrations, redesigns, and changes of direction are not revisions — they are new scope, and Autozyne will quote them separately as a change order before doing the work. You are never billed for additional scope you did not approve in writing.
Your responsibilities
Autozyne’s timelines depend on you. To deliver on schedule, Autozyne needs the materials, information, access, and approvals described in your quote, provided when they are requested.
You are responsible for:
- Providing accurate information about your business, your goals, and your existing systems.
- Providing the content, assets, credentials, and platform access the work requires.
- Reviewing deliverables and giving feedback or approval within the timeframes in your quote.
- Maintaining your own accounts with third-party platforms and paying their fees directly.
- Confirming that anything you send Autozyne is yours to use.
If a project is delayed because Autozyne is waiting on you, the timeline moves accordingly. If Autozyne cannot reach you for 14 days, the project may be paused, and restarting it may require rescheduling.
Payment
Payments are processed by Stripe. Autozyne does not collect or store your full card number.
Payment terms are stated in your quote. Project work is typically billed as a deposit before work begins and the balance on or before delivery, with larger projects split across milestones. Recurring services are billed monthly in advance.
Deliverables, files, credentials, and account access are released to you after payment in full. If an invoice is unpaid, Autozyne may pause work and suspend access to work in progress until payment is resolved. You are responsible for any taxes that apply to your purchase.
Recurring services and retainers
Recurring services, including monthly retainers and monitoring plans, are billed monthly in advance and continue until cancelled. Your first payment starts the first service month.
Either you or Autozyne may cancel a recurring service with 30 days’ written notice. Service continues, and is billed, through the end of the notice period. Autozyne does not pro-rate a partial month, and unused work included in a monthly plan does not roll over to the next month.
Refunds and cancellation
Autozyne’s refund terms are set out in the Refund and Returns Policy, which is part of these terms. Please read it before you purchase.
If you cancel a project after work has started, you are responsible for the work completed up to that point, as described in that policy and in your written quote.
Ownership of the work
You own the deliverables Autozyne creates specifically for you, once you have paid in full. On final payment, Autozyne assigns to you the ownership of the custom deliverables described in your quote — for example, your website, your store, your content, and the automations built for your business.
Autozyne keeps ownership of everything it brought to the project or reuses across clients: its own tools, frameworks, agent architecture, internal systems, code libraries, templates, workflows, methods, and know-how. Where those components are part of what Autozyne delivers to you, Autozyne grants you a perpetual, non-exclusive license to use them as part of your deliverable. That license does not let you resell, sublicense, or redistribute those components on their own.
Third-party components — platforms, plugins, themes, fonts, images, APIs, and software licensed from others — remain owned by their licensors and are governed by their own licenses, which you are responsible for maintaining.
Until you have paid in full, ownership of the deliverables stays with Autozyne.
Your content and materials
You keep ownership of everything you give Autozyne. By providing content, logos, images, copy, data, or access to Autozyne, you grant Autozyne permission to use those materials as needed to perform the work you requested.
You confirm that you have the right to provide those materials and that Autozyne’s use of them in your project will not infringe anyone else’s rights. You are responsible for the legality and accuracy of the content you supply.
Portfolio and referring to our work
Autozyne may describe or show work it has completed as part of its portfolio, unless you tell us in writing that you would prefer we did not. If you ask Autozyne not to showcase your project, Autozyne will not.
Autozyne will not publish your confidential business information, your data, your credentials, or your internal metrics in any portfolio piece, case study, or testimonial without your written permission.
Confidentiality
Autozyne treats your non-public business information as confidential and uses it only to deliver the services you requested. Autozyne does not disclose it to anyone except the service providers who help deliver the work, and only to the extent they need it.
This does not apply to information that is already public, that you make public, that Autozyne already had, or that Autozyne is required to disclose by law.
Autozyne asks the same of you regarding its non-public information, including its pricing, proposals, systems, and methods.
Third-party services and platforms
Autozyne’s work often involves third-party platforms and services, including hosting providers, payment processors, AI providers, automation platforms, analytics tools, and the platforms your business already uses.
Those services are operated by other companies under their own terms and prices, which can change. Autozyne is not responsible for a third party’s outage, price increase, policy change, API change, account suspension, or discontinuation, or for any effect those have on work Autozyne built. Where a third-party change breaks something Autozyne delivered, Autozyne will quote the repair as new work unless your active plan covers it.
You are responsible for the fees charged by third-party platforms used in or after your project unless your quote says Autozyne covers them.
SMS Terms of Service
By providing a mobile number, you consent to receive text messages from Autozyne related to your services. This is a transactional notification program.
Program description: Autozyne sends operational alerts about calls received by your business phone line, including callback requests, missed calls, and daily activity summaries.
Message frequency varies based on your account activity and call volume.
Message and data rates may apply.
To opt out, reply STOP to any message. You will receive a final confirmation and no further messages. To rejoin, contact us or reply START.
For help, reply HELP or contact info@autozyne.com.
Carriers are not liable for delayed or undelivered messages.
Supported carriers include AT&T, Verizon Wireless, T-Mobile, Sprint, US Cellular, and others. Carrier support may change without notice.
Email communication
By requesting a quote or purchasing a service, you agree that Autozyne may contact you by email about your inquiry, your project, your account, and your billing. These are operational messages and are part of providing the service.
Autozyne does not currently operate a marketing email or newsletter list and does not send promotional email to website visitors.
Acceptable use of this website
You may use autozyne.com for legitimate purposes only. You agree not to:
- Use the site or its chat feature to send unlawful, abusive, deceptive, or harassing content.
- Attempt to gain unauthorized access to the site, its systems, or any account.
- Interfere with the site’s operation, security, or availability.
- Scrape, copy, or republish the site’s content for commercial use without permission.
- Use the site to transmit malware or to attempt to compromise anyone’s data.
- Misrepresent who you are or what business you represent.
Autozyne may restrict or refuse access to anyone who violates these rules.
Website content
The content on autozyne.com — including text, layout, graphics, and the Autozyne name and logo — belongs to Autozyne. You may not reproduce or republish it for commercial purposes without written permission.
Autozyne works to keep the site accurate and current, but pricing, service descriptions, availability, and technical details can change without notice. Nothing on this website is a binding offer. Your written quote is the accurate statement of price and scope for your project.
Service warranty and disclaimer
Autozyne stands behind its work for the support period stated in your written quote or agreement. During that period, Autozyne will fix defects in the delivered scope at no charge. The support period covers defects — it does not cover new features, changes you request afterward, changes you or a third party make to the delivered work, or problems caused by a third-party platform.
Beyond that support commitment, this website and Autozyne’s services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Autozyne does not warrant that the website or any deliverable will be uninterrupted, error-free, or secure against every threat, or that it will produce any particular result.
Limitation of liability
To the fullest extent permitted by law, Autozyne’s total liability to you for any claim arising out of these terms, this website, or the services is limited to the amount you actually paid Autozyne for the specific service that gave rise to the claim.
Autozyne is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity, or business interruption, even if Autozyne was advised that those losses were possible.
Some states do not allow certain limitations on liability. Where that is the case, these limitations apply to the fullest extent the law allows.
Indemnification
You agree to defend and hold Autozyne harmless from claims, damages, and reasonable costs arising from your breach of these terms, your misuse of the website or the deliverables, the content or materials you provided to Autozyne, or your violation of any law or third-party right. Autozyne will notify you promptly of any such claim and will cooperate in the defense.
Termination
Either party may end an engagement as described in the applicable quote, agreement, or the Refund and Returns Policy. Autozyne may suspend or end an engagement immediately if payment is not made, if you materially breach these terms, or if the work would require Autozyne to do something unlawful.
If an engagement ends, you pay for work completed up to that point, and Autozyne delivers the work you have paid for. The sections of these terms that are meant to survive — ownership, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — continue to apply after the engagement ends.
Governing law and disputes
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
If a dispute comes up, both parties agree to try to resolve it directly and in good faith first. Contact Autozyne at info@autozyne.com and describe the problem, and Autozyne will work with you toward a resolution. If a dispute cannot be resolved that way, it will be brought in the state or federal courts located in New Jersey, and both parties consent to that jurisdiction.
Changes to these terms
Autozyne may update these Terms of Service from time to time. When we do, we will change the “last updated” date at the top of this page, and the current version will always be posted here. Your continued use of the website or our services after a change means you accept the updated terms. The terms in effect on the date you accepted a quote continue to apply to that engagement.
If part of these terms doesn’t apply
If any part of these terms is found unenforceable, the rest stays in effect. Autozyne not enforcing a term on one occasion does not mean it gives up the right to enforce it later. You may not transfer your rights under these terms to someone else without Autozyne’s written consent.
These terms, together with your written quote or agreement, the Refund and Returns Policy, and the Privacy Policy, are the entire agreement between you and Autozyne on this subject.
